MOUとは？

所謂、覚書の事を英語では Memorandum of Understanding (MOU) と言うが、どんな意味を持つかは 以下の英文のとおり。

The intent of a Memorandum of Understanding (MOU) is to formalize agreement to a set of principles （or resolutions） rather than to serve as a business agreement or contract.

つまり、契約書とは異なり、当事者間の決意を整理するものといった意味合いで使われることが一般的だ。しかし、その書き方や当事者の意図が契約書、もしくは、契約書の一部として作成されたものであれば、そうした効力を持つので注意が必要。
